We advised the issuer on one of the first flotations of an Israeli company on the LSE and acted on one of the first flotations of an Israeli company on AIM (Orca Interactive). We have subsequently advised our clients on compliance with the Israeli legal implications of rules of such foreign exchanges which continue to apply to such Israeli companies.

In providing specialist services to our clients, we carry out a full legal due diligence on the issuer and its operations and we prepare an in depth report. In addition, we counsel the issuer or the underwriter on all aspects of those Israeli and other rleated legal matters which relate to the flotation, utilising the expertise of our various specialist departments (e.g. employment, litigation, real estate etc.) and foreign qualified lawyers. When acting for the bank or underwriter, we also advise on all Israeli legal issues arising from the due diligence carried out for the preparation of the prospectus and in relation to the drafting and amending of various underwriting agreements.

We provide additional value to our clients due to out excellent connections with the top UK and US law firms, the 'Big 4' international accountancy firms and top tier UK and US banks and underwriters.
Our experience in this field has involved the creation of innovative transactional structures which have included transactions of dually listed companies and various securities offered in the course of such offerings. We have unique experience in dealing successfully with large and complex revolutionary transaction structures.
Such transaction structures have required various changes to the applicable securities regulations and to the TASE directives in order to enable the adoption of such transaction structures. An example of the foregoing is our representation of Bank Leumi Group in issuing the first ever Israeli Index Certificate to be traded on the TASE.

We have also gained notoriety as an expert in public and private offerings of various financial instruments, including asset-backed securitisations. In recent years, we have been instrumental in developing capital and fund raising for companies by the issuance of private bonds. We advised a municipal authority on the first bond issue to institutional investors in Israel, a significant breakthrough in fund raising for corporations held by municipal authorities in Israel.
